Terms of Service

1. Acceptance of Terms

By accessing and using the services of Armour Technologies, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Armour Technologies provides independent IT consultancy services including:

  • Technology assessment and discovery
  • IT modernization project planning and implementation
  • Ongoing IT partnership and advisory services
  • Vendor evaluation and selection

3. Service Agreement

Specific services will be defined in a separate Statement of Work (SOW) or Service Agreement. The terms in such agreements will supplement and, where applicable, override these general terms.

4. Payment Terms

Payment terms will be specified in the relevant SOW or Service Agreement. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may incur interest charges as permitted by law.

5. Independence and Conflicts of Interest

Armour Technologies operates as an independent consultant. We do not receive commissions, referral fees, or other compensation from vendors we may recommend. Our advice is based solely on what we believe to be in your best interest.

6. Confidentiality

We will maintain the confidentiality of all client information and will not disclose it to third parties except as required by law or with your explicit consent.

7. Limitation of Liability

To the maximum extent permitted by law, Armour Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

8. Intellectual Property

All deliverables created specifically for a client project become the property of the client upon full payment. General methodologies, frameworks, and pre-existing materials remain the property of Armour Technologies.

9. Termination

Either party may terminate the service agreement with written notice as specified in the relevant SOW. Upon termination, the client is responsible for payment for all work completed up to the termination date.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes. Continued use of our services after such modifications constitutes acceptance of the updated terms.
